Terms and Conditions

Commission/Payment/Refund:

• Registration is free. There are no set-up fees, annual nor monthly payments when joining our Reseller/Affiliate Program.
• All customers who make purchases via your Reseller/Affiliate Link will be required to sign up at HelenDesign.com. HelenDesign.com will lock their Member ID with your Reseller/Affiliate ID so they can login anywhere at anytime and you'll continue receiving commission from all their future purchases.
• Commissions are calculated automatically for each sale. You can review your account status after loging in as a Reseller.
• Helen Design agrees to compensate the reseller/affiliate for 20% of the total sale price of purchases made by visitors sent through and tracked by reseller/affiliate links or ID.
• Helen Design will make every effort to provide accurate accounting calculations when crediting commissions. Helen Design will not offer Resellers any customers and/or financial information.
• Payments will be made beginning with the 7th of the following month for the previous month's earnings. Payments will be made to your PayPal account, which must be created by the reseller/affiliate during sign up to the Resellers Program. Earnings may be deducted from your total monthly sales if Helen Design provides any refunds to your referrals. Payment will be made to a valid PayPal email account, which must be provided by the reseller/affiliate when signing up with Resellers Program.
• Commissions generated by the reseller/affiliate may be subject to verification by Helen Design in order to gain commissions through the Helen Design Reseller/Affiliate Program. Helen Design reserves the right to take away and/or withhold commissions for fraudulent or false transactions or activities.
• If Helen Design must refund a customer purchase (i.e. fraudulent credit card purchase, chargeback, suspicious order, etc.) for which you received a commission, the commission you earned will be deducted from future commission earnings.
• All commission payments are made by PayPal ONLY.
• Helen Design reserves the right to modify, terminate, and alter the commission structure, Resellers' account, and/or percentage of commission at any time. In any cases, updates will be available at HelenDesign.com.

Restrictions and Description of Prohibited:

• You may not display Helen Design's products/templates in web site which contains pornographic, prejudice, racism, hatred, or excessive profanity material of any kind.
• Resell Helen Design's products/templates using your own shopping cart to collect payment.
• Reseller/Affiliate agrees not to engage in spam nor other illegal or fraudulent activities in order to gain commission through Helen Design.
• Helen Design's products/templates may not be resold in any type of collection, such as passing our templates over to third parties on CDs and diskettes, or letting others download our templates from your web sites. In the event of such practices, Helen Design will immediately terminate your membership privileges and NO refunds will be made.

Information About You and Your Business:

• Helen Design is committed to protecting your privacy. Helen Design will never sell personally identifiable information about you or your business to any third party without first receiving your permission.
• In order to protect you, Helen Design currently uses PayPal as our payment collection source. PayPal uses Secure Sockets Layer (SSL) software to protect your data and secure you and your customers transactions. SSL encrypts all your personal information, including name, billing address, credit card number, etc, as it is transmitted over the Internet.

Terms/Termination:

• This agreement shall become effective when you join our Resellers/Affiliate Program and shall continue until termination by you or Helen Design.
• Helen Design may, at any time without notice to you, discontinue any or all aspects of the Helen Design Service or Products or restrict your participation in the Helen Design Reseller/Affiliate Program.
• Helen Design may, at any time terminate this Agreement with the Reseller/Affiliate if Helen Design suspects that party of any fraudulent or abusive activity related to the Helen Design Reseller/Affiliate Program and/or HelenDesign.com.
• Upon termination of this Agreement, all rights granted to you under this Agreement shall terminate immediately. If Helen Design terminates this Agreement or suspends your access to any of Helen Design's Services or Products, you will receive any remaining balance left in your account after the 7th of the following month. Helen Design reserves the right to delete any data files associated with your use of the Helen Design's Services or Products upon termination of this Agreement.
• If Agreement terminates due to any illegal activity, Helen Design reservesthe right not to pay any remaining commission to the Reseller/Affiliate.
• Helen Design may, at any time, modify this agreement without prior notice. Current Reseller/Affiliate Agreement will always be posted on Helen Design's Resellers Program section for reseller to review.
• You may terminate this Agreement at anytime. All references to Helen Design's Services and/or Products must be removed from your site immediately after termination.

Violations:

Helen Design reserves the right to monitor the content of Reseller's sites and will investigate complaints of any violations of third-party rights or Helen Design's Reseller/Affiliate Policy and Agreement.
